Acceptance of Terms
By accessing or using the services provided by MarketingCodes, Inc. (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services
We provide software development, design, AI/ML, digital marketing, and team augmentation services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement between the parties.
Intellectual Property
Upon full payment, all custom work product, source code, designs, and deliverables created specifically for you under a SOW become your property. We retain ownership of our pre-existing frameworks, tools, libraries, and general know-how used in delivering the services.
Payment Terms
Payment terms are defined in each SOW. For project-based engagements, we typically require a 30% upfront deposit with milestone-based payments thereafter. For retainer and staff augmentation engagements, billing is monthly in advance. Late payments may incur a 1.5% monthly finance charge.
Confidentiality
Both parties agree to keep confidential all proprietary information shared during the course of an engagement. This includes business strategies, technical architectures, source code, user data, and financial information. This obligation survives termination of the agreement for a period of 3 years.
Warranties & Limitations
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We do not guarantee specific business outcomes, revenue results, or performance metrics. Our liability is limited to the total fees paid for the specific engagement giving rise to the claim.
Termination
Either party may terminate an engagement with 30 days written notice. Upon termination, you will pay for all work completed through the termination date. All deliverables completed and paid for will be transferred to you within 10 business days of termination.
